Website Terms and Conditions of Use

This document is an electronic record in terms of the Information Technology Act, 2000 (“IT Act”) and the rules made thereunder, and the amended provisions pertaining to electronic records in various statutes as amended by the IT Act. This electronic record is generated by a computer system and does not require any physical or digital signature.

To the extent EarnNet acts as an intermediary in relation to any third-party electronic record made available through the Website, these Terms are also intended to satisfy the applicable requirements of Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

These Terms of Use, together with the Privacy Policy (collectively, the “Terms”), govern your access to and use of the website of EarnNet LLP at www.earnnet.in, including all pages thereof (the “Website”), and the content, software and online services offered on the Website. By using the Website, you accept these Terms in full. If you disagree with these Terms or any part of them, you must not use the Website. The terms “EarnNet”, “the Company”, “we”, “us” and “our” refer to EarnNet LLP, a limited liability partnership incorporated under the laws of India, having its registered office at 211, Gold Mohur CHS Ltd, 174 Princess Street, Mumbai – 400002, Maharashtra, India. The terms “you” and “your” refer to the User or viewer of the Website.

Definitions

“Community” means the EarnNet Business Collaborative Community, a private membership based business community established and administered by EarnNet to enable Business Entities to network, collaborate and exchange referrals through structured networking.

“Events” means the physical and online meetings, gatherings, summits and other community activities organised by EarnNet from time to time, including Weekly EN Room Meetings, participation in which is governed by the Membership Documents.

“Governance Documents” means the EarnNet Membership Agreement, the Appendix of Defined Terms, the Digital Acceptance & Consent Declaration, and the Schedules and policies incorporated into the Membership Agreement, each as amended from time to time.

“Member” means a Business Entity (as defined under the Membership Agreement) admitted to membership of the Community in accordance with the Membership agreement and thenGoverning Documents, acting through its Authorised Representative.

“Membership” means the contractual membership of the Community granted by EarnNet under the Membership Documents for the term specified therein.

“Membership Fee” means the fee payable by a Member to EarnNet for admission to, and continuation of, Membership, as prescribed under the Governance Documents.

“Member Dashboard” means the logged in digital service made available by EarnNet to Members under the Governance Documents.

“Content” means all text, information, software, images, graphics, designs, layouts, logos, audio, video and other material made available on or through the Website.

Please review these Terms carefully before using the Website, because they affect your rights. By using the Website, you accept these Terms and agree to be legally bound by them.

1. Relationship with the Membership Documents

1.1. These Terms regulate only access to and use of the Website. The membership relationship between EarnNet and a Member, including all rights and obligations relating to Membership, EN Rooms, Events, Referrals, Fees and Charges, and the Member Dashboard, are governed exclusively by the Governance Documents. These Terms supplement, and do not replace, the Governance Documents, and in the event of any inconsistency, the Governance Documents shall prevail with respect to membership matters.

1.2. EarnNet is not, and shall not be construed to be, a buyer, seller, service provider in trade, commission agent, broker, intermediary in trade, electronic commerce operator, or party to any commercial transaction between Members or between any Member and any third party. Nothing on the Website constitutes an offer to sell or supply goods or services by EarnNet to any person, an invitation to transact, or professional, legal, financial, investment or tax advice of any kind.

2. Alterations to the Terms of Use

2.1. We may change these Terms at any time. The most current version of these Terms may be reviewed through the “Terms of Use” link on the Website, and the revised / updated Terms shall be effective upon publication on the Website. We shall make reasonable efforts to notify registered users of material changes. If you continue to use the Website after we publish changes to these Terms, you signify your acceptance of the updated Terms. We reserve the right to correct any errors, inaccuracies or omissions on the Website, and to change or update information, at any time without prior notice.

3. Right to Change the Website

3.1. We reserve the right to modify, discontinue or withdraw any feature or service of the Website at any time. We may at any time make changes to the Website which are necessary to comply with any safety, security or statutory requirement, or which do not materially affect the nature or quality of the services made available through the Website. Changes materially affecting Members shall be notified in accordance with the Membership Documents.

4. Your Responsibilities

4.1. You may use the Website for lawful purposes only. You shall not submit or transmit through the Website any material, or otherwise engage in any conduct, that:

  • violates or infringes the rights of others, including any patent, trade mark, trade secret, copyright, privacy, publicity or other proprietary right;
  • is unlawful, threatening, abusive, harassing, defamatory, libellous, deceptive, fraudulent, invasive of another’s privacy, tortious, obscene or pornographic;
  • victimises, harasses, degrades or intimidates any individual or group on the basis of religion, gender, sexual orientation, race, ethnicity, age or disability;
  • impersonates any person or entity, including EarnNet or its personnel, or misrepresents your identity or affiliation;
  • contains viruses, worms, trojans or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software, hardware or telecommunications equipment, or to permit unauthorised access to or use of a computer or network;
  • encourages conduct that would constitute a criminal offence or give rise to civil liability;
  • probes, scans or tests the vulnerability of the Website or any connected network, breaches any security or authentication measure, or seeks to trace or reverse look-up any information of any other user of the Website;
  • disrupts or interferes with the security or operation of, or otherwise causes harm to, the Website or its systems, resources, accounts, servers or networks, or places an unreasonable or disproportionately large load on its infrastructure;
  • collects, harvests or stores information about other users of the Website, or uses any such information for unsolicited communications or any purpose unrelated to the legitimate use of the Website;
  • uses any data scraper, deep link, robot, spider or other automatic device, program, algorithm or methodology, or any equivalent manual process, to access, acquire, copy or monitor any portion of the Website or any Content;
  • reverse engineers, decompiles, disassembles, modifies, copies, distributes, transmits, displays, performs, reproduces, publishes, licenses, creates derivative works from, transfers or sells any information or software obtained from the Website, except as expressly permitted by these Terms or Applicable Law;
  • attempts to gain unauthorised access to the Website, other user accounts, or any computer systems or networks connected to the Website, through hacking, password mining or any other means, or accesses the Website by any means other than the interface provided by EarnNet; or
  • conducts or forwards surveys, contests, pyramid schemes or chain letters through the Website.

4.2. We may take all legal and technical remedies available to us to prevent and address any violation of this Clause and to enforce these Terms.

5. Spam

5.1. You shall not use the Website or any communication service on it to transmit, directly or indirectly, any unsolicited bulk communications (including emails and instant messages), nor harvest information about users of the Website for the purpose of sending or facilitating the sending of unsolicited bulk communications, nor induce or allow others to do so. We may suspend or terminate your access to the Website immediately, and take any other legal or technical action, if you or anyone using your access violates this Clause.

6. Proprietary Rights

6.1. EarnNet, its licensors, and users who lawfully post material own the property rights in the Content. The Content is protected by copyright, trade mark, patent and trade secret laws and other proprietary rights, including rights in the selection, organisation, arrangement and enhancement of the Content. The design, layout, look, appearance, colour combinations, graphical elements and branding of the Website are the property of EarnNet, and their reproduction is prohibited.

7. Licence to Use the Website

7.1. Unless otherwise stated, EarnNet and/or its licensors own the intellectual property rights in the Website and all material on it, and all such rights are reserved. Subject to these Terms, you may view, download for caching purposes only, and print pages from the Website for your own lawful use.

7.2. You must not: (a) republish material from the Website, including on another website; (b) sell, rent or sub-license material from the Website; (c) show any material from the Website in public without EarnNet’s consent; (d) reproduce, duplicate, copy or otherwise exploit material on the Website for a commercial purpose; (e) redistribute material from the Website, except for content expressly made available for redistribution, and then only within your organisation; or (f) use the EarnNet name, logos or trademarks in any business name, domain name, email address, advertisement or public communication, or in any manner suggesting affiliation with or endorsement by EarnNet, without EarnNet’s prior written consent.

7.3. Where registration information is requested from you to set up a user account, you must provide accurate and complete information and keep it updated. You are responsible for maintaining the confidentiality of your account login credentials, must not permit use of your account by any other person, and accept responsibility for all activity that occurs under your account, including unauthorised use, except to the extent caused by EarnNet’s breach of these Terms. If you have reason to believe that someone is using your account without your permission, you must contact us immediately.

8. Membership Applications and Fees

8.1. Membership of the EarnNet Community may be applied for through the Become a Member / application service on the Website. Admission to Membership is conditional upon EarnNet’s approval of the application, completion of the Digital Acceptance & Consent Declaration, and payment of the applicable Membership Fee, in each case in accordance with the Governance Documents. EarnNet reserves the right to reject any application at its discretion, and an unsuccessful Business Entity will be notified of that decision, contact details of aspiring Business Entities may be retained in accordance with the Website Privacy Policy.

8.2. The information sought in the application process is required to assess whether the aspiring Business Entity satisfies the eligibility criteria under the Governance Documents and shares the values of the Community, and all applications are considered individually on a case by case basis.

8.3. Membership does not renew automatically. Renewal is subject to application and approval in accordance with the Governance Documents. Membership is personal to the Member and is not transferable, and may not be sold, assigned or otherwise transferred, in whole or in part, without EarnNet’s prior written consent under the Governance Documents.

8.4. All fees and charges payable to EarnNet are quoted in Indian Rupees and are exclusive of Goods and Services Tax and other applicable taxes, duties and levies, which shall be charged additionally in accordance with Applicable Law. A payment shall be treated as completed only upon receipt of cleared funds in EarnNet’s designated bank account. All fees and charges are non-refundable save as expressly provided under the Governance Documents or EarnNet’s publishedRefund Policy.

8.5. We are not responsible for any loss or damage arising directly or indirectly from any failure or decline of a payment transaction due to lack of authorisation, limits set between you and your bank, or any other payment issue attributable to your bank or a third-party payment service, and any payment processed through a third-party payment gateway is subject to that provider’s own terms.

9. Website Security Rules

9.1. Users are prohibited from violating or attempting to violate the security of the Website, including: (a) accessing data not intended for the user, or logging into a server or account which the user is not authorised to access; (b) attempting to probe, scan or test the vulnerability of a system or network, or to breach security or authentication measures, without proper authorisation; (c) attempting to interfere with service to any user, host or network, including by submitting a virus, overloading, flooding, spamming, mail-bombing or crashing; (d) sending unsolicited email, including promotions or advertising; or (e) forging any TCP/IP packet header or any part of the header information in any email or posting. Violations of system or network security may result in civil or criminal liability, and we will investigate occurrences that may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users involved in such violations.

9.2. The Website is designed for persons who are competent to contract under the Indian Contract Act, 1872. You represent that you are at least eighteen (18) years of age and, where acting on behalf of an entity, that you are duly authorised to bind that entity. The Website is not intended for use by minors.

9.3. You are expected to comply with all laws and regulations applicable to your use of the Website, and are responsible for any statutory fees or applicable taxes associated with your activities on the Website.

10. Publicly Accessible Content

10.1. Certain areas of the Website may allow you to post content that can be accessed and viewed by others. You may only post content that you created or that you have permission to post, and you may not post content that violates these Terms. We do not claim ownership of content you post. However, by submitting content to publicly accessible areas of the Website, you grant EarnNet a non-exclusive, royalty-free licence to use, copy, display, distribute and adapt that content for the purposes of operating and promoting the Website and the Community, in accordance with the Website Privacy Policy.

11. Monitoring and Removal of Content

11.1. We are not liable for content provided by others. We have no duty to pre screen content, but we reserve the right to refuse to post, to edit, or to remove any submitted content, including where we reasonably believe it is unlawful or violates these Terms, and we are not responsible for any failure or delay in removing such material, save as required under Applicable Law.

12. Procedure for Claims of Infringement

12.1. We respect the intellectual property rights of others. If you believe that your work has been copied and is accessible on the Website in a way that constitutes infringement, or that any content on the Website is otherwise unlawful, you may report it to the Grievance Officer identified in Clause 21, with sufficient detail to identify the content and the basis of the complaint. We shall acknowledge and act upon such complaints, including by removing or disabling access to the content where appropriate, within the timelines prescribed under the Applicable Law including IT Act and the rules made thereunder.

13. Hyperlinks

13.1. The Website may include links to third party websites, including links provided as automated search results, and some linked sites may contain material that is objectionable, unlawful or inaccurate. Such links do not constitute endorsement by EarnNet of those sites or their content, and we are not responsible or liable for any content or material on any third party site. Any dealings you have with any third party found through the Website are between you and that third party, and we are not liable for any loss or claim you may have against such third party. You may not create a link to the Website from another website or document without EarnNet’s prior written consent.

14. Disclaimer of Warranties

14.1. The Website is provided on an “as is” and “as available” basis. We make no express warranties or guarantees about the Website, and to the extent permitted by law, we disclaim all implied warranties, including that the Website and all software, Content and services distributed through it are merchantable, of satisfactory quality, accurate, timely, fit for a particular purpose or need, or non-infringing.

14.2. Without prejudice to the generality of the foregoing, we do not warrant that: (a) the Website will be constantly available, or available at all; or (b) the information on the Website is complete, true, accurate or non-misleading. Nothing on the Website constitutes, or is meant to constitute, advice of any kind.

14.3. Where any Event or service involves the services of any third party (such as a speaker at an Event or a venue provider), EarnNet gives no warranty, guarantee or indemnity in respect of such third party, and participation in Events is governed by the Governance Documents.

15. Limitation of Liability

15.1. To the maximum extent permitted by Applicable Law, we, our affiliates, and our suppliers shall not be liable for any direct, indirect, special, incidental, consequential or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data or other intangible losses arising (in any manner whatsoever, including but not limited to negligence) out of or in connection with the Website. EarnNet, its associates, affiliates, service providers and technology partners make no representation or warranties about the accuracy, reliability, completeness and/or timeliness of any content, information, software, text, graphics, links or communications provided or on through the use of the Website or that the operation of the Website or the Logistics partner will be error free and/or uninterrupted. EarnNet provides no guarantee to its users in respect of the Website. We assume no liability whatsoever for any indirect or consequential or monetary or other damage suffered by you due to delay, failure, interruption, or corruption of any data or other information transmitted in connection with the use of the Website.

16. Indemnification

16.1. Upon our request, you agree to defend, indemnify and hold harmless EarnNet and its designated partners, assignees, officers, employees, contractors and agents from all liabilities, claims, demands and expenses, including reasonable attorneys’ fees and any penalties imposed, that arise from your use or misuse of the Website, your breach of these Terms, or your violation of Applicable Law or the rights of any third party.

17. International Use

17.1. We make no representation that the Content on the Website is appropriate or available for use in locations outside India. If you choose to access the Website from a location outside India, you do so on your own initiative and are responsible for compliance with local laws.

18. Breaches of These Terms and Termination

18.1. Without prejudice to EarnNet’s other rights under these Terms, if you breach these Terms in any way, we may take such action as we deem appropriate to address the breach, including suspending your access to the Website, prohibiting you from accessing the Website, blocking devices or IP addresses from accessing the Website, contacting your internet service provider to request that they block your access, and/or bringing legal proceedings against you. Unauthorised use of the Website may give rise to a claim for damages and/or constitute a criminal offence.

18.2. Your right to use the Website terminates automatically if you violate these Terms. We also reserve the right to suspend or terminate your access to all or part of the Website for legal, security or operational reasons, with or without notice. Suspension or termination of access to the Website does not, of itself, terminate a Member’s Membership, which is governed by the Membership Documents. Clauses which by their nature are intended to survive, including those relating to intellectual property, indemnity, disclaimers, limitation of liability, governing law and jurisdiction, shall survive termination.

19. Severability and Entire Agreement

19.1. These Terms, together with and any supplemental terms, policies, rules and guidelines published on the Website, constitute the entire agreement between you and EarnNet with respect to your use of the Website, and supersede all previous written or oral agreements on that subject, provided that, for a Member, the Governance Documents continue to govern the membership relationship in accordance with Clause 1. If any part of these Terms is held invalid or unenforceable, that portion shall be construed consistently with Applicable Law to reflect, as nearly as possible, the original intention of the parties, and the remaining portions shall remain in full force and effect.

20. Force Majeure and Waiver

20.1. We shall not be liable by reason of any failure or delay in the performance of our obligations under these Terms if such failure or delay is caused by any act of God, strike, lockout or other industrial disturbance, act of public enemy, act of terrorism, war, blockade, insurrection, riot, epidemic, landslide, lightning, earthquake, fire, storm, flood, civil disturbance, explosion, pandemic, governmental action, change in law or regulation, cyber-attack, failure of utilities, telecommunications or internet infrastructure, or any other cause beyond our reasonable control.

20.2. No waiver of any of the term of these Terms shall be deemed a further or continuing waiver of that term or any other term, and no failure or delay by EarnNet in exercising any right shall operate as a waiver of it.

21.2. We shall acknowledge and dispose of complaints within the timelines prescribed under Applicable Law. Where available under Applicable Law, you may escalate an unresolved grievance to the competent data protection authority after first using our grievance-redressal process.

22. Governing Law and Jurisdiction

22.1. These Terms and all claims arising from or relating to your use of the Website shall be governed by and construed in accordance with the laws of India, and the courts at Mumbai, Maharashtra shall have exclusive jurisdiction, provided that, in the case of a Member, any dispute shall be resolved in accordance with the dispute resolution provisions of the Governance Documents. Notwithstanding the foregoing, we may seek injunctive or other equitable relief from any court of competent jurisdiction.
